DescriptionTo assist the company secretary and to monitor Corporate Social Responsibility activities, secretarial compliance and governance across the organization.
Responsibilities
- CSR Compliance and Administration.
- Ensure Secretarial compliance with the Companies Act, Banking Regulation Act, SEBI Listing Regulations, FEMA, RBI guidelines, and other applicable laws.
- Shareholder Grievances.
- Oversee statutory filings, disclosures, and returns with MCA, SEBI, RBI, and other regulators.
- Maintain statutory registers, records, and minutes of Board, Committee, and General Meetings.
- Advise the Board and Senior Management on governance best practices and regulatory changes.
- Follow up with branches/departments/ administrative units. Carry out the annual review of the policies pertains to the department.
- Lead preparation of agenda notes, notices, resolutions, and minutes for Board and Committee meetings.
- Ensure timely circulation of meeting papers and compliance with governance standards.
- Support in drafting and reviewing shareholder communications, annual reports, and governance disclosures.
- Establish and strengthen internal secretarial processes, documentation standards, and compliance monitoring.
Qualifications
CS (Inter or Final passed)
B. Com (Postgraduate or LLB will be added advantage)
Min Exp: 3 years
Max Exp: 8 years
